  1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern access to and use of our AI-powered software services (the “Service”) based on large language models (‘LLMs’), Agentic Workflows and Google Cloud Platform (GCP), provided by Advanced Premedia Solutions LLC, (“Advanced Premedia Solutions,” “APS,” “Company,” “we,” “us,” or “our”).

By accessing, registering for, or using the Service, you (“User,” “Customer,” or “you”) agree to be legally bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

  1. Description of the Service

Advanced Premedia Solutions provides an Artificial Intelligence design platform that generates packaging concepts, structural designs, graphics, artwork adaptations and related outputs (“Generated Content”).

The Service:

  • Uses one or more LLMs, Agentic Workflows and GCP hosting
  • May incorporate third-party AI services, in addition to the ones given above
  • Generates designs based on user inputs (“Prompts”)

Advanced Premedia Solutions does not guarantee that Generated Content will be unique, patentable, manufacturable, or free of third-party claims.

 

  1. Eligibility

You must:

  • Use the Service for lawful business purposes only
  • Not be a competitor accessing the Service for benchmarking or reverse engineering
  • Be at least 18 years of age and have the legal capacity to enter into a binding contract
  • Not be located in, ordinarily resident in, or a national of any country or region subject to U.S. embargoes or comprehensive sanctions, and not be on any U.S. government denied-party or restricted-party list

  1. Account Registration

To access the Service, you must create user accounts. Each user account is licensed for use on a single computer, identified by a device fingerprint at first activation. To transfer a license to a different computer (e.g., due to hardware replacement, loss, or upgrade), contact your organization administrator or APS support; transfers are subject to verification.

When creating user accounts, you agree to:

  • Provide accurate and complete information as required
  • Maintain confidentiality of login credentials
  • Be responsible for all activity under your account or accounts

Advanced Premedia Solutions may suspend or terminate any account or accounts that violate these Terms.

  1. Acceptable Use

You agree NOT to:

  • Upload confidential third-party information without authorization
  • Submit unlawful, infringing, or defamatory material
  • Use the Service to create harmful, deceptive, or illegal products
  • Reverse engineer, copy, or extract source code
  • Use automated systems to scrape the Service
  • Use the Service, its outputs, or any prompt/response data to train, evaluate, or develop a competing AI model or service
  • Violate the acceptable-use policies of our model providers, including Google Cloud Generative AI Prohibited Use Policyand Anthropic’s Usage Policies  — those policies are incorporated by reference
  • Submit malware, malicious code, or content designed to disrupt the Service
  • Impersonate another person or entity, or misrepresent your affiliation with any person or entity
  • Submit content depicting minors in sexual, violent, or otherwise harmful contexts

We reserve the right to remove unlawful, copyright infringement or defamatory Content and suspend accounts for violations.

  1. Intellectual Property

6.1.        User Inputs

You retain ownership of your content, data, and materials you upload (“User Content”).

You grant Advanced Premedia Solutions a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display User Content solely as necessary to operate and provide the Service to you, including routing User Content to our model service providers for inference. We do not use User Content to train, fine-tune, or otherwise improve any AI model. See our Privacy Policy for full data-handling details.

6.2.        Generated Content

  • Subject to payment of all fees, Advanced Premedia Solutions assigns to you the rights, if any, to the Generated Content.
  • You are responsible for reviewing and validating Generated Content before commercial and/or critical use.

Similar Generated Content may be generated for other users. Advanced Premedia Solutions does not guarantee:

  • Exclusivity
  • Patentability
  • Freedom from infringement

6.3.        Feedback

If you voluntarily submit suggestions, ideas, or feedback about the Service (“Feedback”), you grant Advanced Premedia Solutions a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate the Feedback into the Service without obligation or compensation to you. Feedback is not Confidential Information and is not User Content.

6.4.        APS Property

Advanced Premedia Solutions retains all right, title, and interest in and to the Service, including all software, models, system prompts, agentic workflows, documentation, trademarks, and trade secrets. No license is granted to you except as expressly stated in these Terms.

  1. Confidentiality

“Confidential Information” means non-public information disclosed by one party (“Discloser”) to the other (“Recipient”) that is identified as confidential or that, given the nature of the information and circumstances of disclosure, would reasonably be understood to be confidential. APS Confidential Information includes information about our AI technology, models, system prompts, processes, agentic workflows, and pricing. Customer Confidential Information includes Customer Data and your business information.

Recipient will:

  • Use commercially reasonable measures, no less protective than those it uses for its own confidential information of similar sensitivity, to protect Discloser’s Confidential Information
  • Use Discloser’s Confidential Information only to exercise rights and perform obligations under these Terms
  • Not disclose Discloser’s Confidential Information except to employees, contractors, or service providers bound by confidentiality obligations no less protective than this section, or as required by law

Confidential Information does not include information that: (a) is or becomes publicly

available without breach of these Terms, (b) was known to Recipient before disclosure, (c) is rightfully obtained from a third party without confidentiality obligation, or (d) is independently developed without use of the Confidential Information.

Confidentiality obligations survive termination for three (3) years, except for trade secrets, which remain protected for as long as they qualify as trade secrets under applicable law.

  1. Fees and Payment

  • Subscription fees are billed in advance.
  • All payments are non-refundable unless otherwise stated.
  • Unused credits in your account expire at the end of each month. Expiration rules and renewal allocations are shown in your account settings console.
  • Failure to pay may result in suspension or termination of the accounts.
  • We may modify pricing with at least thirty (30) days’ prior New pricing applies to the next billing cycle after the notice period.

Taxes are the responsibility of the User.

  1. Data Security

Advanced Premedia Solutions implements commercially reasonable security safeguards. No real-world system is completely secure. We monitor emerging threats and apply commercially reasonable technical and organizational measures to mitigate risks.

We do not guarantee uninterrupted or error-free operation. The Service is not a backup system; you are responsible for maintaining your own copies of User Content.

 

  1. Third-Party Services

The Service uses third-party tools and/or APIs, such as LLMs and Google Cloud Platform.

Advanced Premedia Solutions is not responsible for:

  • Third-party outages
  • Third-party data practices
  • Changes to external LLM providers

  1. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

Advanced Premedia Solutions DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OF GENERATED CONTENT

Designs and other output generated by AI systems may contain errors, omissions, or similarities to existing works.

  1. Limitation of Liability

To the maximum extent permitted by law:

Advanced Premedia Solutions shall not be liable for:

  • Indirect or consequential damages resulting from the use of the Service
  • Loss of profits or revenue
  • Business interruption
  • Loss of data
  • Claims arising from User’s commercial use of Generated Content

Total aggregate liability of Advanced Premedia Solutions arising out of or related to these Terms shall not exceed the amount paid by the User to APS in the twelve (12) months preceding the event giving rise to the claim.

The foregoing limitations do not apply to: (a) a party’s gross negligence, willful misconduct, or fraud; (b) a party’s indemnification obligations under Section 13; (c) a party’s breach of confidentiality under Section 7; or (d) User’s obligation to pay fees.

  1. Indemnification

You agree to indemnify and hold harmless Advanced Premedia Solutions from claims arising from:

  • Your use of the Service and Generated Content
  • Your violation of these Terms
  • Your infringement of third-party rights

  1. Termination

Advanced Premedia Solutions may suspend or terminate any account or accounts if:

  • You breach these Terms
  • Required by law
  • Non-payment occurs

Upon termination, access to the Service ceases immediately.

  1. Governing Law

These Terms shall be governed by the laws of the State of Maryland, USA, without regard to conflict of law principles.

Disputes shall be resolved in the courts located in the state of Maryland, USA.

  1. Changes to Terms

Advanced Premedia Solutions may modify these Terms at any time. Material changes will be communicated via:

  • Email notification
  • In-product notice

Continued use constitutes acceptance of the updated Terms.

  1. Force Majeure 

Neither party is liable for any failure or delay in performance (other than payment obligations) caused by events outside its reasonable control, including acts of God, natural disasters, war, terrorism, riots, civil unrest, government action, labor disputes, internet or telecommunications failures, third-party service outages (including outages of GCP, Vertex AI, or other AI model providers), or pandemic. The affected party will use commercially reasonable efforts to resume performance.

  1. Service Availability

The Service is provided on a best-efforts basis. Advanced Premedia Solutions does not commit to any specific uptime, response time, or service level under these Terms; any service-level commitments will be specified in a separate written agreement signed by both parties. Scheduled maintenance, third-party outages, and emergency repairs may interrupt the Service from time to time.
